GRANT OF LICENSE By downloading or purchasing this sample pack (the "Product"), you are granted a non-exclusive, non-transferable, worldwide license to use the audio samples, loops, and one-shots (the "Samples") created by Julian Avila in your own musical compositions and audio productions. 2. NAME AND LIKENESS RESTRICTIONS You may not use the name, image, or likeness of the artist or producer associated with a Sample in any way without that artist's or producer's express written permission. This means you cannot use the name "Julian Avila" in the main title of your song or project (e.g., Artist Name - Song Title feat. Julian Avila) without prior written consent. Furthermore, with respect to commercial usage of Recordings containing Samples, the conditions set forth in Clauses 3, 4, and 5 shall strictly apply. 3. INDEPENDENT RELEASES (ROYALTY-FREE) You may use the Samples in standard independent releases, indie beat sales, or DIY projects with no royalty splits, mechanical fees, or publishing splits required, provided that the release does not trigger the Major Release (Clause 4) or Streaming Milestone (Clause 5) thresholds detailed below. You keep 100% of your earnings on these independent projects until a threshold is met. 4. MAJOR RELEASE PLACEMENTS & CREDITS You are strictly required to split the Publishing and Writer's Share on a 50/50 basis and contact Julian Avila for formal clearance from day one if a musical composition containing any Sample is part of a Major Release. Credit Requirement: Where permitted under Clause 2, you must provide proper co-production credit to Julian Avila in the metadata and liner notes on all digital and physical platforms (e.g., Prod. by [Your Name] & Julian Avila). Major Release Definition: A "Major Release" is defined as any commercial release that is distributed, licensed to, or associated with a Major Record Label (including but not limited to Universal Music Group, Sony Music Entertainment, Warner Music Group, or their respective owned or controlled subsidiaries) or major independent powerhouse record labels (including but not limited to BMG, Polygram, or similar established record label entities). 5. STREAMING MILESTONES (INDEPENDENT RELEASES) Even if a release begins as a completely independent, self-distributed project via digital distributors (including but not limited to DistroKid, TuneCore, EMPIRE, Venice Music, or Create Music Group), a 50/50 Publishing and Writer's Share split with Julian Avila is strictly required once the song reaches a Streaming Milestone. Trigger Threshold: Clearance and 50/50 splits are triggered immediately upon the track accumulating 1,000,000 (One Million) combined cumulative streams across all digital streaming platforms (including but not limited to Spotify, Apple Music, and YouTube). Licensee Responsibility: It is the sole administrative responsibility of the licensee (the person or entity who downloaded/purchased the pack) to contact Julian Avila at samples@avilabeats.com for formal clearance within thirty (30) days of reaching this milestone. 6. PROHIBITED USES You may not re-sell, re-license, sub-license, or redistribute these Samples in their isolated form. You cannot use these Samples to create a competing sample pack, loop kit, sound effects library, or virtual instrument. 7. LIABILITY The Samples are provided "as is." Julian Avila accepts no responsibility for any direct or indirect loss or damage arising from the use of these audio files.
